Merilampi Advised Buyer Consortium in Pre-Pack Acquisition of Well-Known Finnish Brands

We advised a buyer consortium in a pre-pack arrangement involving the acquisition of the Swedish company Lexington and several Finnish companies behind well-known brands such as Finlayson, Makia, Reino & Aino, and Vallila from the bankruptcy estate of Manna & Co Oy. Some of the companies were undergoing restructuring during the transaction, while others had an approved restructuring programme in place before its completion. The arrangement was a rare example of a pre-pack transaction in the Finnish market, where such structures have been utilised only to a limited extent.
