Merilampi successfully represented Uponor in the Uponor/KWH merger proceeding
Merilampi successfully represented Uponor Corporation in its attempt to stop the Finnish Competition and Consumer Authority’s proposal to prohibit the merger of Uponor and KWH Group. On 24 May 2013, the Market Court approved the merger of the two plastic pipe manufacturers. Dismissing the Authority’s recommendation that the merger be blocked, the Court conditionally cleared the transaction to move forward.» Read more

Merilampi represented Union Investment in its acquisition of Eventes Business Garden from Peab Invest Oy. The lettable area of the office development under construction will be 14,133 m2 and the project targets to LEED Gold green building certification. Supreme Administrative Court repealed FICORA’s decision concerning Elisa Oyj’s local loop pricing
Merilampi represented Elisa Oyj in a successful appeal against the Finnish Communications Regulation Authority (FICORA) in a case concerning the pricing of the local loop. In its decision on 27 June 2012 the Supreme Administrative Court accepted Elisa Oyj’s appeal and repealed FICORA’s decision whereby FICORA had deemed Elisa Oyj’s local loop lease prices as unreasonable. The Court concluded, in accordance with Elisa Oyj’s argumentation, that FICORA’s decision was in contradiction with the provisions of the Finnish Communications Markets Act as well as the principles of the EU telecom directives as interpreted by the Court of Justice of the EU in its judgment in Arcor-case (C-55/06). The Court found that FICORA’s approach to only take into account those parts of the local loop network that were not yet wholly depreciated from the book-value of the network would lead to account being taken of only a part of the tied capital and thus put the telecom operator in an unjustified disadvantage.Master of Laws William Sjöberg appointed as Associate

Merilampi Attorneys Ltd. represented Suominen Corporation in the acquisition of Ahlstrom Corporation’s Home and Personal wipes fabrics business. The acquired business develops and manufactures nonwoven roll goods for wipes for households and industry. The business has manufacturing plants in the U.S, Italy, Spain and Brazil. About 480 persons will be transferred to Suominen with the acquisition. By the acquisition Suominen will grow significantly and will become a global market leader within nonwoven roll goods for wipes. The purchase price was approximately 170 million euros of which over 87 million euros was financed by share issue and the remaining part by debt finance. In 2010, net sales of the bookstores was EUR 109 million.
