Merilampi represented Suominen Corporation in the acquisition of Ahlstrom Corporation’s Home and Personal business
Merilampi Attorneys Ltd. represented Suominen Corporation in the acquisition of Ahlstrom Corporation’s Home and Personal wipes fabrics business. The acquired business develops and manufactures nonwoven roll goods for wipes for households and industry. The business has manufacturing plants in the U.S, Italy, Spain and Brazil. About 480 persons will be transferred to Suominen with the acquisition. By the acquisition Suominen will grow significantly and will become a global market leader within nonwoven roll goods for wipes. The purchase price was approximately 170 million euros of which over 87 million euros was financed by share issue and the remaining part by debt finance. Merilampi Attorneys Ltd. represented Rautakirja Ltd, part of Sanoma Group, while it sold bookstore operations in Finland to Otava Ltd. The transaction included all shares of Suomalainen Kirjakauppa Oy, six properties used by Suomalainen Kirjakauppa as well as Rautakirja's and Suomalainen Kirjakauppa's shares of Kirjavälitys Oy, a company specialised in logistics services. In 2010, net sales of the bookstores was EUR 109 million. Merilampi represented Amer Sports in tobacco litigation, where Helsinki Court of Appeal dismissed all claims for damages in connection with the previous tobacco business of Amer Sports
In addition to dismiss all claims for damages the Court of Appeal also ordered in the judgements rendered 31 May 2010 the claimants to reimburse Amer Sports Corporation for all legal costs, as claimed by the company. The Court of Appeal did not amend the judgements passed in the matter by Helsinki District Court in 2008, where all claims made by the claimants had also been dismissed. The cases concerned claims for damages brought by two private individuals in spring 2005, whereby they claimed damages and legal costs jointly and severally from Amer Sports Corporation and its subsidiary Amerintie 1 Oy (previously Amer-Tupakka Oy) and another tobacco manufacturer. The Market Court gave decisions concerning reasonable return on electricity network operations in 2005–2007 (first regulatory period). KENET Oy, Vantaa Energy Electricity Networks Ltd. and Verkko Korpela Oy appealed the regulatory decisions to the Market Court. The Market Court accepted KENET Oy and Verkko Korpela Oy’s appeals that concerned equal treatment in calculating the reasonable return of investments made by the appellant companies in their rented networks compared to investments made by the company in its own network.
