Merilampi represented Amer Sports in tobacco litigation, where Helsinki Court of Appeal dismissed all claims for damages in connection with the previous tobacco business of Amer Sports

In addition to dismiss all claims for damages the Court of Appeal also ordered in the judgements rendered 31 May 2010 the claimants to reimburse Amer Sports Corporation for all legal costs, as claimed by the company. The Court of Appeal did not amend the judgements passed in the matter by Helsinki District Court in 2008, where all claims made by the claimants had also been dismissed. The cases concerned claims for damages brought by two private individuals in spring 2005, whereby they claimed damages and legal costs jointly and severally from Amer Sports Corporation and its subsidiary Amerintie 1 Oy (previously Amer-Tupakka Oy) and another tobacco manufacturer. Merilampi represented distribution network operators in electricity market cases

The Market Court gave decisions concerning reasonable return on electricity network operations in 2005–2007 (first regulatory period). KENET Oy, Vantaa Energy Electricity Networks Ltd. and Verkko Korpela Oy appealed the regulatory decisions to the Market Court. The Market Court accepted KENET Oy and Verkko Korpela Oy’s appeals that concerned equal treatment in calculating the reasonable return of investments made by the appellant companies in their rented networks compared to investments made by the company in its own network. The appeal of Vantaa Energy Electricity Networks Ltd. concerning the consideration of group contribution in the calculation of reasonable return was accepted.

New Corporate Governance Code for Listed Companies as of 1 January 2009

The aim of the reform is to clarify practices of corporate communications as well as improve transparency of management’s remuneration systems. Amendments concern issues such as risk management, composition of the Board of Directors, communications with shareholders as well as report to be given by a company on corporate governance related issues. The importance of companies’ home pages is also emphasized as a channel of public relations. The new Code will replace the Corporate Governance Recommendation for Listed Companies issued on December 2003.

The New Act on Public Procurement into force on 1 June 2007 – a new book also available

The Finnish public procurement legislation is entirely reformed. The new Act on Public Procurement has entered into force as of 1 June 2007. It applies to procurement proceedings started thereafter. The purpose of the reform was to implement the amended EC Public Procurement Directives into the national legislation. In addition, the reform aims at increasing companies’ possibilities and interest to offer their products and services to the public sector. The reform increases flexibility in the public tendering but on the other hand the new Act sets out new obligations.

Merilampi represented Oy Realinvest Ab in a sale of a substantial real estate portfolio

Merilampi Attorneys Ltd. (earlier Merilampi Marttila Laitasalo Attorneys Ltd.) represented Oy Realinvest Ab in a sale of real estate portfolio to Real Estate Fund JER Europe Fund II Holdings Sarl. The portfolio comprised of office and retail properties located in various parts of Finland and the value of the deal was 42 million euros. Sponda Oyj is a partial owner in the Real Estate Fund and manages the real estates in the Fund.
